Terms of Service

1. Acceptance of Terms

By accessing or using the CareLog platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Eligibility and Accounts

You must be an authorized representative of a licensed care facility to create an administrative account. You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Use of the Platform

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that all information, particularly resident health information, is entered accurately and managed in compliance with all applicable laws and regulations.

4. Facility Responsibilities

The facility is solely responsible for:

  • Obtaining necessary consents from residents and their families to store their information on the platform.
  • Managing user access for staff and family members.
  • The accuracy and legality of all data entered into the Service.
  • Complying with all applicable healthcare privacy laws (e.g., HIPAA, PIPEDA).

5. Subscription Fees and Payment

Access to the Service is provided on a subscription basis with a minimum one year commitment. Subscriptions are billed in advance on a recurring basis, either monthly or annually, for the full one year term.

By subscribing, you agree to maintain the subscription for the entire one year term. Early termination does not relieve you of payment obligations for the remainder of the subscription term, except as required by law.

All fees are non-refundable except where required by applicable law.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of CareLog and its licensors. Our trademarks may not be used in connection with any product or service without our prior written consent.

7. Service Availability

We will use reasonable efforts to ensure the Service is available 24/7, but we do not guarantee that the Service will be uninterrupted or error-free. We will not be liable for any downtime or service interruptions.

8. Limitation of Liability

In no event shall CareLog, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the province of Ontario, Canada, without regard to its conflict of law provisions.
